Name, Purpose & Organization

1.0      The corporate name of the Club shall be Woodbridge Golf & Country Club. It is also sometimes referred to herein as “the Club.”

  1. The Club will be operated as a California non-profit mutual benefit corporation. The purpose and objective of the Club is to operate as a private social club for the recreational and social benefit of its Members. No part of the income of the corporation shall inure to the benefit of any Member, trustee, director, officer of the corporation, or any private individual (except that reasonable compensation may be paid for services rendered to or for the corporation affecting one or more of its purposes.)
  2. These Bylaws set forth the terms and privileges of membership in the Club and the policies and procedures under which the Club is operated. These Bylaws amend, supersede and replace in their entirety any prior bylaws of the Club which may have been in effect.
  3. The Board may establish and amend from time-to-time rules and regulations (“Rules and Regulations”) for the control and operation of the Club and its facilities; and for the conduct and attire of Members while using the Club. The Rules and Regulations shall become effective immediately upon the posting of a copy in a conspicuous place at the Club, or by posting on the Club’s website, or upon their mailing to Members.

WHAT IT MEANS: #

  • The Name We Go By: Our Club is officially recognized as the Woodbridge Golf & Country Club, though referring to us as “the Club” is perfectly acceptable.
  • Our Purpose: We are established as a nonprofit organization in California, dedicated to creating a social and recreational haven for our members. It’s important to us that the Club’s earnings are reinvested into enhancing our community, not distributed for personal gain, except in fair compensation for services that contribute to our mission.
  • Guiding Principles (Bylaws): These Bylaws are the cornerstone of our Club, outlining membership benefits, responsibilities, and the framework within which we operate. They serve to update and replace any previous guidelines, ensuring clarity and contemporary relevance.
  • Regulatory Framework: Our Board of Directors holds the authority to implement and adjust policies concerning the operation of the Club and the conduct of our members. These regulations are effective immediately upon their announcement, either displayed within the Club, published on our website, or communicated directly to members.
