Bylaws: Articles 10 & 11 – Amendments & Interpretation

WHAT THEY SAY: #

ARTICLE X Amendments

10.0 The Bylaws may be amended at any regular or special meeting of the Membership provided written notice is given 30 days prior to the regular or called meeting at which the vote is taken. A majority vote of Members present or by proxy casting their eligible votes shall be sufficient to make changes herein.

ARTICLE XI Interpretation

11.0 The interpretation of these Bylaws shall rest with the Board unless and until superseded by a vote of the Membership by a majority vote of those present or by proxy at a Proprietary Membership meeting.

WHAT THEY MEAN: #

Amending the Bylaws (Article X) – The Club’s Bylaws can be updated or changed during any regular or specially called membership meeting. Members need to be notified about the proposed amendments 30 days before the meeting where the vote will happen. To pass an amendment, it only requires more than half of the votes from members who are present or represented by a proxy.

Interpreting the Bylaws (Article XI) – If there’s any question about what the Bylaws mean or how they should be applied, the Board of Directors has the final say in interpreting them. However, this interpretation can be overridden by a majority vote from the Proprietary Members at a meeting, where members can vote in person or through a proxy.
